Microsoft Circle to Act Service Use Agreement
Welcome to Microsoft Circle to Act! The Microsoft Circle to Act (the "Service") is provided by Microsoft Corporation ("Microsoft", "we", "us" or "our").
In order to use the Service, you should read and comply with the Microsoft Privacy Statement, Microsoft Services Agreement, Microsoft PC Manager Software Service Use Agreement, and this Microsoft Circle to Act Service Use Agreement (hereinafter referred to as the "Agreement"). Please ensure you read and fully understand the content of each clause, especially those related to exemption or limitation of liability. Additionally, review the separate agreement for opening or using a specific service, and decide whether to accept or decline it. Limitations and disclaimers will be highlighted in bold for your attention.
Unless you have fully read, understood, and accepted all the terms of this Agreement, you are not authorized to use the Service. By clicking "agree" or using the Service (which includes actions such as registration, login, browsing, etc.), you are deemed to have read and agreed to be bound by this Agreement.
If you are under the age of 18, please read this Agreement and other relevant agreements with your legal guardian. Pay special attention to the terms related to the use of minors, and use the Service under the supervision and guidance of your legal guardian after obtaining their consent.
1. Scope of application
This Agreement applies to your use of the Service, as well as your access to or use of related content through the Service.
2. Service Rules
2.1. Content of the Service
The Service includes the following features:
· Screenshot Tool: Provides core screenshot functionality, allowing users to capture selected regions, full screens, or specific windows, with built-in annotation tools for marking and commenting on images.
· Text Extraction: Identifies and extracts text, charts, and other content from screenshots, converting them into editable formats for further use.
· Translation: Translates extracted text content into multiple languages, supporting multilingual accessibility and communication.
· Smart Copy: Enables direct transfer of extracted content into PowerPoint slides, with editing capabilities available within the application for seamless customization.
2.2. Form of the Service
To use this Service, you need to download the Microsoft PC Manager client and activate the Service using the shortcut Ctrl-Shift-A. You may only use the Service for the purpose of accessing or utilizing the Service.
All other rights related to the Service that are not expressly authorized by this Agreement remain the property of Microsoft and are reserved by Microsoft. You must obtain written permission from Microsoft to exercise these rights. Microsoft's failure to exercise any of these rights does not constitute a waiver of those rights.
2.3. Adjustments and Updates to the Service
You understand and agree that Microsoft may update or adjust the content of the Service according to business needs. This includes, but is not limited to, Microsoft's right to unilaterally modify or change paid services, charging standards, charging methods, service fees, and terms of service as necessary. Microsoft may begin to charge users of certain services now or in the future when providing the Services, and if you refuse to pay such fees, you may not continue to use the Services after the charges have begun. Microsoft will use its best efforts to notify users of such modifications or changes by reasonable means.
3. Terms of Use of the Service
3.1. Access and Use
You can download the Microsoft PC Manager client from Microsoft Store and Microsoft PC Manager Official Website. If you obtain the Service from a third party not authorized by Microsoft, Microsoft cannot guarantee that the Service will work properly and will not be liable for any losses you may incur as a result.
3.2. Updates and Maintenance
(1) To enhance the user experience and improve the Service content, Microsoft will periodically provide updates to the Service. These updates may include replacements, modifications, function enhancements, and version upgrades.
(2) To ensure the security and consistency of the Service's functions, Microsoft reserves the right to periodically update the Service or change or limit some of its functions.
(3) After the release of a new version of the Service, the old version may no longer be available. Microsoft does not guarantee the continued availability of older versions, so please check and use the latest version of the Service regularly.
4. User Data Protection
4.1. Microsoft is committed to protecting the privacy and security of user data. Microsoft firmly believes that user data belongs to the user. Microsoft's efforts are designed to ensure that user data is handled with the utmost care and meets the highest privacy and security standards.
4.2. Microsoft takes the privacy of its users very seriously. Microsoft will process your personal information in accordance with this Agreement and the Microsoft Privacy Statement. Microsoft will take reasonable steps to protect your personal information, using professional encrypted storage and transmission methods to ensure the security of your personal information.
4.3. This service does not actively collect personal information. In order to provide you with the Smart Copy feature, the screenshot uploaded by you during the use of the Smart Copy feature under this Service will be processed by Microsoft in data centers outside of China, and the results will be fed back to you. Microsoft does not retain image or text data sent by you during your use of the Service, nor the results of your feedback, except for the purpose of complying with a legal obligation. If you have any questions about the Service or need assistance with your rights request, you can contact us through the contact information provided in the relevant clause of this Agreement, and we will respond to your request in a timely manner.
4.4. In order to provide you with the Text Extraction and Translation features, the screenshot you capture during the use of Text Extraction and Translation features of this Service will be transmitted to Microsoft Azure, which is operated and maintained by Shanghai Lanyun Network Technology Co., Ltd. in China, for processing, and the processing result will be fed back to you after the processing is completed. We do not store the data you upload.
4.5. We fully understand the importance of protecting the personal information of minors. Therefore, we solemnly declare: this service is primarily intended for adults, but we also welcome minors to use the service under appropriate conditions. In accordance with relevant laws and regulations, anyone under the age of 18 is considered a minor. Before using this service, minors must carefully read this agreement in the presence of their guardians to ensure that the guardians have explicitly agreed to the minor's use of the service. If you are a guardian of a minor and discover that the minor is using this service without your explicit consent, or if you do not agree with the contents of this agreement, please contact us promptly using the contact information provided in this agreement.
5. User Code of Conduct
The rules of conduct you need to follow when using the Service shall be governed by the relevant provisions under the "Code of Conduct" of the Microsoft Services Agreement. The use of the Service may allow you to access or purchase products, services, websites, links, content, materials, games, technologies, integration technologies, bots or applications from independent third parties (not Microsoft companies or personnel) ("Third-Party Applications and Services"), and the use of Third-Party Applications and Services is subject to the relevant provisions under "Use of Third-Party Apps and Services" in the Microsoft Services Agreement.
Microsoft has always been committed to providing users with a civilized, healthy, standardized and orderly network environment, and you shall not use the Service to make, upload, copy, publish, transmit, disseminate or reprint content that may interfere with the normal operation of the Service, or infringe upon the legitimate rights and interests of other entities, or violate national laws and regulations, including but not limited to:
(1) Opposing the basic principles set forth in the Constitution;
(2) Endangering national security, divulging state secrets, subverting state power, or undermining national unity;
(3) Harming the honor and interests of the state;
(4) Distorting, vilifying, desecrating, or negating the deeds and spirit of heroes and martyrs, or infringing upon the names, likenesses, reputations, or honors of heroes and martyrs by insulting, slandering, or otherwise harming them;
(5) Advocating terrorism or extremism or inciting the commission of terrorist or extremist activities;
(6) Inciting ethnic hatred and ethnic discrimination, or undermining ethnic unity;
(7) Undermining national religious policies and advocating cults and feudal superstitions.
(8) Spreading rumors and disrupting economic and social order;
(9) Disseminating obscenity, pornography, gambling, violence, murder, terror or instigating crimes;
(10) Insulting or slandering others, infringing on the reputation, privacy and other legitimate rights and interests of others;
(11) Other content prohibited by laws and administrative regulations.
6. Intellectual Property
Microsoft does not claim ownership of any content (including directive, creations, customizations, instructions, or other content) that you provide, post, input, or submit to or receive from the Service, or that you receive from the Service, including feedback and suggestions. You are responsible for making your own judgment on the intellectual property rights and availability of the content you input and output during your use of the Service.
You warrant and represent that you own or otherwise control the ownership rights to the Content involved in your use of the Services, including, but not limited to, all necessary rights for you to provide, post, upload, or submit the Content. When you post, upload, input, provide, or submit content in the course of your use of the Service, you grant Microsoft, its affiliates, and third-party partners a license to allow Microsoft and its affiliates to, and to allow Microsoft and its affiliates to Third-party partners use the Content in connection with the provision of the Services, including, but not limited to, copying, distributing, transmitting, publicly displaying, publicly performing, reproducing, editing, translating, and reformat the instructions, creations, and other content provided by you, and sub-licensing the foregoing rights to any vendor in connection with the provision of Microsoft Services.
7. Breach of Contract
7.1. You understand and agree that if Microsoft discovers or receives reports or complaints from others that a user violates this Agreement, Microsoft has the right to prohibit the publication, deletion, or blocking of the relevant content at any time without notice, and impose penalties on the relevant accounts of the violating entity including but not limited to warnings, restricting or prohibiting the use of some or all functions, banning the account, freezing the account, and even canceling the account, and announce the results. The user shall be solely responsible for all legal liabilities arising therefrom.
7.2. You understand and agree that Microsoft has the right to impose penalties on violations of relevant laws and regulations or the provisions of this Agreement in its reasonable judgment, take appropriate legal action against relevant users, retain relevant information in accordance with the law, report and provide account related information to relevant departments, cooperate with investigation and handling, etc., and users shall be solely responsible for all legal liabilities arising therefrom.
7.3. You understand and agree that you shall be solely responsible for any claims, demands or losses claimed by a third party as a result of your violation of this Agreement or the relevant terms of service; If Microsoft suffers losses as a result, you shall also compensate for the damages.
8. Miscellaneous
8.1. If you select "Agree to this Agreement" and choose to use this Service, you will be deemed to have read and agreed to be bound by this "Agreement". Microsoft reserves the right to modify the terms of this Agreement as necessary. You can review the terms of the relevant agreement in the latest version of the Service. If you continue to use the Software after the terms of this Agreement have changed, you will be deemed to have accepted the modified Agreement. If you do not accept the modified Agreement, you should stop using the Service.
8.2. Governing Law. Any claim or dispute relating to this Agreement will be governed by the laws of your place of residence (or, in the case of Business Customers, the laws of the place where your principal place of business is located), excluding conflict of laws. For matters not expressly described in this Agreement, the provisions of the Microsoft Services Agreement and the Microsoft Privacy Statement shall apply.
8.3. If any dispute or controversy arises between you and Microsoft, it shall first be settled through friendly negotiation; If the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of a court of competent jurisdiction. For individuals or businesses in the United States, the terms of the Microsoft Services Agreement apply.
8.4. If any provision of this Agreement is partially invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.
