Manager Software Service Use Agreement
Welcome to use Microsoft PC
Manager software services! Microsoft PC Manager software (hereinafter referred
to as "Microsoft PC Manager" or "this Software")
and services (hereinafter referred to as “this Service”) are provided by
Microsoft Corporation ( hereinafter referred to as "Microsoft"
or "we").
To use this Service, you should read and comply with the Microsoft Privacy Statement , Microsoft Services
Agreement and this Microsoft PC Manager
Software Service Use Agreement (hereinafter referred to as "this
Agreement"). Please carefully read and fully understand the terms,
especially the terms that exempt or limit liability, and the separate agreement
for opening or using a certain service, and choose to accept or not accept. The
restrictions and exemptions will be highlighted in bold for your attention.
Unless you have fully read, understood and accepted all the terms of
this Agreement, you have no right to use this Service. Your click to agree or
your use of this Service("use" refers to one or more of the following
actions including but not limited to downloading, installing, browsing,
registering, logging in, etc., the same below) shall be deemed as your reading
and agreement to the above agreement.
If you are under the age of 18, please read this Agreement and other
relevant agreements in the presence of your legal guardian, and pay special
attention to the terms related to use by minors. After obtaining the consent of
your legal guardian, use this service under the supervision and guidance of
your legal guardian.

Scope of application
This Agreement applies to your downloading, installation,
use of this Software and use this Service.
II.
Service Rules

Contents
of this Service
The content of this Service includes:
- Health checkup:
One-click quick checkup of your computer's health status, including system
useless file cleanup, identifying and detecting risky system problems. Give
optimization suggestion.
- Deep Cleanup:
Comprehensively scan your computer system to clean up junk files such as
useless files, browser and application caches to maximize the release of
storage space and improve system performance.
- One Click Acceleration:
Easily clean up temporary system files, release and optimize system memory
usage to improve computer operation efficiency and free up space.
- Windows Update: Securely
transfer real updates to your device, maintaining sound, vision, Internet
connectivity, and essential hardware components such as mouse and keyboard.
- Virus and Threat Protection:
Performs comprehensive system scanning with Windows Security Center to detect
and isolate potential risks in a timely manner.
- Reset Default Apps: Helps restore the default
state of Windows apps and improve the efficiency of app operation.
- Taskbar Repair: Repair the native Windows
taskbar with one click and restore the default taskbar interface.
- Disk Analysis: Analyze disk space usage and
provide detailed space usage suggestions by file types.
- Space Management:
Quickly clean up system useless files, browser cache, application cache and
other junk files, help identify files that take up a lot of space, download
files and duplicate files, free up disk space.
- Process Management:
Quickly close useless application processes to optimize performance and reduce
resource consumption.
- Startup Item Management: Manage items running at
Windows startup to improve system startup speed.
- Application Uninstallation: Easily uninstall
most of the applications, limit the applications that Windows allows to
uninstall.
- Toolbox and Gadgets: Integrate a variety of
Windows utilities and quick access to utility URL functions.
- Intelligent Acceleration: Automatically cleans
up the system's temporary files and memory when the temporary files reach 1GB,
ensuring that the system stays running efficiently.
2.
The
form of this Service
You need to download the
Microsoft PC Manager client software to use this Service. With regard to the
intellectual property license of this Service, the Standard Application
License Terms for Chinese Market shall apply. You may use this Service only for the
purpose of accessing or using this Service.
Any other rights not explicitly
authorized in this Agreement, related to this Software or this Service, are owned
and reserved by Microsoft. To exercise these rights, you must obtain written
permission from Microsoft. The failure
of Microsoft to exercise any of the these rights does not constitute a waiver
of such rights.
You understand and agree that Microsoft may update or adjust the content
of this Service based on business needs, including but not limited to:
Microsoft has the right to unilaterally modify or change the fee-based
services, fee standards, charging methods, service fees, and service terms as
needed. When providing this Service,
Microsoft may charge certain fees to users of some services now or in the
future. If users refuse to pay such fees, they will not be able to continue to
use the relevant services after the start of the charges. Microsoft will make
every effort to notify users of relevant modifications or changes in a
reasonable manner.
III.
Rules for using this Software
1.
How
to obtain this Software
(1)
You can obtain
this software directly from the Microsoft Store, or you can also enter the
Microsoft Store to download this software from the official website where you
get Microsoft PC Manager.
(2)
If
you obtain this Software or an installer with the same name as this Software
from a third party not authorized by Microsoft, Microsoft cannot guarantee that
the software will function properly and will not be liable for any damages
caused to you as a result.
2.
Installation
and uninstallation of this Software
After downloading this Software installation program, you
need to follow the steps in the program to install it correctly. If you no
longer need to use this Software, you can uninstall it yourself.
3.
Updates
to this Software
(1)
In order to
improve user experience and service content, Microsoft will continue to work
hard to develop new services and provide you with update services for this
Software from time to time (these updates may take the form of software
replacement, modification, function enhancement, version upgrade, etc.).
(2)
In order to ensure the security
and functional consistency of this Software and this Service, Microsoft has the
right to regularly update this Software, or change or limit some of the
functions and effects of this Software.
(3)
After a new
version of this Software is released, the old version of this Software may not
be available. Microsoft does not guarantee that the old version of this
Software and the corresponding services will continue to be available. Please
check and download the latest version of this Software at any time.

User Data Protection
1.
Microsoft has a long-standing commitment to protecting the privacy and
security of user data. Microsoft firmly believes that user data belongs to the
user. Microsoft's efforts are designed to ensure that user data is handled with
the utmost care and in accordance with the highest standards of privacy and
security.
2.
User privacy is important to Microsoft.
Microsoft will process user personal information in accordance with this
Agreement and the Microsoft Privacy Statement. Microsoft will take reasonable
measures to protect user personal information and use professional encryption
storage and transmission methods to ensure the security of user personal
information.
3.
Collection of User Data

You need to
register and log in to your Microsoft account to use this Service. For details,
please refer to Microsoft Privacy Statement.
(2)
When using
Microsoft PC Manager, we collect the following data on our server (hereinafter
referred to as, “User Data”):

4.
Access to User Data
When you use
Microsoft Computer Manager to clean up your PC (deep cleanup, health checkup, intelligent
acceleration, disk analysis), depending on the features used, the following
data may be accessed on your system to make cleanup recommendations to you and
to delete files you choose to delete:
- Cookies or data from websites you visit;
- Records of content you have downloaded from websites;
- Files on your device;
- Windows user profile names;
- Windows system registry entries;
- Windows system update files.
This data is processed on your
device and is not sent to our server. Microsoft PC Manager will not read the
contents of the files or any personal user information.
When you use
Microsoft PC Manager to manage your app pop-ups, we will only block the advertisement
pop-ups of the apps that you choose to block (including manual blocking), and
this function will only be processed on your device, and will not send the
information of the blocked pop-ups to our server.
If you choose to join the
Microsoft pop-up management program, you can take screenshots of pop-ups you
don't want to see but can't close and send the screenshots to us to help us
optimize the pop-up management feature of Microsoft PC Manager. In this
program, we will not collect any information other than the screenshots you
send us. Even after participating in this program, you can opt out of the
Microsoft PC Manager pop-up management program through [Settings].
When you use
Microsoft Computer Manager to manage applications and services on your PC (running a health checkup, process management, startup
item management, application uninstallation, taskbar repair, resetting default
applications, using toolboxes and gadgets), the following data may be processed
locally on your system, depending on the features used:
- Installed browsers and related settings.
- Installed applications.
- Application startup items/process items/services and scheduled
tasks.
This data is processed on your
device and is not sent to our server.
5.
Microsoft PC Manager does
not collect your personal information unless it is included in the information
you send to Microsoft as part of your feedback and participation in the
Microsoft pop-up program.
6.
Microsoft
will use a variety of security technologies and procedures to establish a
complete management system to protect your user data and personal information
provided to Microsoft from unauthorized access, use or disclosure.
7.
Without
your consent, Microsoft will not disclose your personal information to any
company, organization or individual outside of Microsoft, unless otherwise
provided by laws and regulations.
8.
Microsoft
attaches great importance to the protection of minors' personal information. If
you are a minor under the age of 18 , you should obtain the consent of your
parents or legal guardians before using Microsoft's services.
9.
For
other matters regarding the protection of your personal information, please
refer to the Microsoft Privacy Statement .
10.
When you use a specific service of this Software, the service may jump
to the third-party software and related service interface. The processing of
your personal information in the third-party software and service interface is
subject to the user agreement, privacy policy and related business rules of the
third-party software and service. Please read the aforementioned user
agreement, privacy policy and related business rules and other documents before
using this service .
V.
User Code of Conduct
Before using this Service,
you need to register a Microsoft account. For other usage specifications of
your Microsoft account, the relevant provisions under the "Using the Services
& Support" section of the Microsoft Services Agreement shall apply. Regarding the code of conduct that you need
to follow during the use of this Service,
the relevant provisions under the "Code of
Conduct" of the Microsoft Services Agreement shall apply. During the use of this Service, you may be allowed to access or acquire products,
services, websites, links, content, material, games, skills, integrations, bots
or applications from independent third parties (companies or people who aren’t
Microsoft) ("Third-Party Apps and Services"). Regarding the usage of Third-Party
Apps and Services, the relevant provisions under the "Using Third-Party
Apps and Services " section of the Microsoft Services Agreement shall apply.
Microsoft has been committed to providing users with a civilized,
healthy, standardized and orderly network environment. You may not use this
Service to produce, upload, copy, publish, transmit, disseminate or reprint
content that may interfere with the normal operation of this service , infringe
the legitimate rights and interests of other entities, or violate national laws
and regulations, including but not limited to :
(1)
Opposing the
basic principles established by the Constitution;
(2)
Endangering national security,
leaking state secrets, subverting state power, or undermining national unity;
(3)
Damage to national honor and
interests;
(4)
Distorting, vilifying,
blaspheming, or denying the deeds and spirit of heroes and martyrs, or
insulting, slandering, or otherwise infringing upon the names, portraits,
reputations, and honors of heroes and martyrs;
(5)
Propagating terrorism,
extremism, or inciting the commission of terrorist or extremist activities;
(6)
Inciting ethnic hatred, ethnic
discrimination, and undermining ethnic unity;
(7)
Undermine the state's
religious policies and promote evil cults and feudal superstitions;
(8)
Spreading rumors and
disrupting economic and social order;
(9)
Spread obscenity, pornography,
gambling, violence, murder, terror, or incite crime;
(10)
Insulting or defaming others,
infringing upon others' reputation, privacy, or other legitimate rights and
interests;
(11) Other
content prohibited by laws and administrative regulations.
VI.
Intellectual property
1.
Microsoft is the intellectual property rights holder of this Service.
With regard to the intellectual property license of this Software and this Service,
the Standard Application
License Terms for Chinese Market shall apply.
VII.
Terminal Security
You understand and agree that this
Service, like most Internet software and services, may be affected by a variety
of factors, including but not limited to user reasons, network service quality,
social environment, etc.; it may also be affected by various security issues,
including but not limited to others illegally using user information to carry
out real-life harassment; other software downloaded and installed by users or
other websites visited by users may contain viruses, Trojans or other malicious
programs, threatening the security of your terminal device information and
data, and then affecting the normal use of this Service. Therefore, you should
strengthen your awareness of information security and personal information
protection, and pay attention to password protection to avoid losses. It
is the common responsibility
of Microsoft and you to maintain the security and normal use of the software
and services. Microsoft will reasonably and prudently take necessary technical
measures in accordance with industry standards to protect the security of your
terminal device information and data, but you acknowledge and agree that
Microsoft cannot provide a complete guarantee in this regard.
VIII.
Breach of the Agreement
1.
You understand and agree that if
Microsoft discovers or receives reports or complaints from others that a user
has violated the provisions of this Agreement, Microsoft has the right to
prohibit the publication, deletion, blocking and other measures at any time
without notice, and impose penalties on the relevant accounts of the violating
entity, including but not limited to warnings, restrictions or prohibitions on
the use of some or all functions, account bans, account freezes and even
account cancellations, depending on the circumstances of the behavior, and
announce the results of the handling. The user shall bear all legal
responsibilities arising therefrom.
2.
You understand and agree that
Microsoft has the right to impose penalties on violations of relevant laws and
regulations or the provisions of this Agreement based on reasonable judgment,
take appropriate legal actions against relevant users, preserve relevant
information in accordance with the law, report and provide account-related
information to relevant departments, cooperate with investigations and
handling, etc. Users shall bear all legal responsibilities arising therefrom
alone.
3.
You understand and agree that you
shall be solely responsible for any claims, demands or losses asserted by a
third party resulting from or arising from your violation of this Agreement or
the relevant terms of service, and you shall also compensate Microsoft for any
losses suffered as a result.
IX.
Other
1.
Your downloading, installation,
and use of this Software are deemed to indicate that you have read and agreed
to be bound by this Agreement. Microsoft has the right to modify the terms of this
Agreement when necessary. You can review the relevant terms of this Agreement
in the latest version of this Service. If you continue to use this Software
after the terms of this Agreement are changed, it is deemed that you have
accepted the modified agreement. If you do not accept the modified agreement,
you should stop using this Service.
2.
Applicable Law. Any claim or
dispute relating to this Agreement will be governed by the laws of your place
of residence (or, for corporate customers, the laws of your principal place of
business), excluding conflict of laws. To the extent not expressly stated in
this Agreement, the provisions of Microsoft Software License
Terms, Microsoft Services Agreement, and Microsoft Privacy
Statement shall apply.
3.
If any dispute or controversy
arises between you and Microsoft, you should first resolve it through friendly
negotiation; if the negotiation fails, you agree to submit the dispute or
controversy to the jurisdiction of a court of competent jurisdiction. For
individuals or businesses in the United States, the terms of the Microsoft Software License
Terms apply.
4.
Regardless
of the reason why some of the terms of this Agreement are invalid or
unenforceable, the remaining terms will remain valid and binding on both
parties.
